Terms of Service

Agreement
These terms govern use of prismbase.ai and general consulting services by PrismBase AI LLC. Specific projects are governed by signed Statements of Work (SOW) that supersede these general terms where they conflict.
Services
PrismBase provides AI/ML consulting, database audits, and related professional services. Deliverables for scoped projects follow the Production Standard and Production Deliverable Checklist referenced in applicable SOWs.
Intellectual property
Unless otherwise stated in a signed SOW, Client owns all deliverables, custom code, models, and documentation produced specifically for Client upon full payment. PrismBase retains ownership of pre-existing tools, general methodologies, and non-client-specific frameworks.
Client responsibilities
Client provides timely access to systems, data, and personnel required for delivery. Delays in Client-provided access may adjust timelines. Client is responsible for production environment decisions and regulatory compliance of deployed systems unless explicitly scoped in the SOW.
Fees & payment
Fees are specified in the applicable SOW or product order. Invoices are due per the payment schedule in the SOW. Late payments may pause work until resolved.
Confidentiality
Both parties agree to protect confidential information shared during engagements. PrismBase does not sell client data. See our Privacy Policy and Security pages for data handling practices.
Limitation of liability
To the maximum extent permitted by law, PrismBase's total liability for any claim arising from services is limited to fees paid by Client for the specific engagement giving rise to the claim. PrismBase is not liable for indirect, incidental, or consequential damages including lost profits or data.
Warranty disclaimer
Services are provided professionally and in accordance with agreed SOWs. Except as stated in a signed SOW, services are provided "as is" without warranty of uninterrupted operation or fitness for a particular purpose beyond documented acceptance criteria.
